Terms & Conditions

These Terms & Conditions apply to all creative, advertising, branding, digital, production, marketing, media, consulting, and related services provided by Cyan Advertising Group (“Cyan”, “we”, “us”, or “our”). By approving a proposal, quotation, scope of work, or instructing Cyan to begin a project, the client agrees to these Terms.
The exact services, deliverables, timeline, fees, and project requirements will be defined in the approved proposal, quotation, or scope of work. Any request outside the agreed scope may require additional fees and may affect the delivery timeline.
The client is responsible for providing Cyan with the information, materials, access, feedback, and approvals needed to complete the project. The client must ensure that all information, images, logos, trademarks, content, data, and materials provided to Cyan are accurate and legally authorized for use. Delays in providing required feedback, materials, approvals, or payments may result in corresponding project delays.
Project timelines are based on timely cooperation from both parties. The client is responsible for reviewing work and providing clear, consolidated feedback within the agreed review period. Once a project phase or deliverable is approved, significant changes requested afterward may be treated as additional work and charged separately.
The number of revision rounds included in each project will be stated in the approved proposal. A revision means reasonable changes within the approved creative direction. New concepts, major changes to the brief, additional deliverables, or changes requested after final approval may be considered additional scope.
Project fees, deposits, payment schedules, taxes, and other commercial terms will be stated in the approved quotation or agreement. Cyan may require advance payment before starting work or committing to production, media, or third-party costs. Cyan may pause work or withhold final deliverables if payments become overdue. Media spend, production expenses, platform fees, supplier fees, licenses, and other third-party costs are separate from Cyan’s agency fees unless specifically stated otherwise.
Cyan may work with production houses, photographers, videographers, developers, influencers, talent, printers, media platforms, software providers, freelancers, and other third-party suppliers. Third-party services may have their own pricing, availability, policies, licenses, and cancellation terms. Cyan is not responsible for delays, restrictions, platform changes, service interruptions, or decisions made independently by third-party providers.
Where Cyan manages advertising or performance marketing, results may depend on factors outside Cyan’s control, including competition, budgets, audience behavior, market conditions, platform algorithms, and the client’s products or services. Cyan does not guarantee specific levels of sales, leads, reach, engagement, conversions, rankings, or return on advertising spend unless expressly agreed in writing. Advertising platforms such as Meta, Google, TikTok, LinkedIn, or others independently control ad approvals, account restrictions, targeting options, and platform functionality.
The client retains ownership of all materials provided to Cyan. Cyan retains ownership of its internal tools, methodologies, templates, processes, concepts, drafts, unused creative directions, and other pre-existing intellectual property. Unless otherwise agreed, rights to the final approved deliverables are transferred or licensed to the client only after all related project fees have been paid. Third-party assets such as fonts, stock images, music, software, plugins, templates, or talent rights remain subject to their original licenses. Editable files, raw files, source files, unused concepts, and working files are not automatically included unless stated in the project scope.
Unless otherwise agreed in writing, Cyan may display publicly released work created for the client in its portfolio, website, social media, case studies, credentials, award submissions, and business presentations. Confidential or unreleased work will not be published without appropriate approval.
Both Cyan and the client agree to reasonably protect confidential information shared during the project. Each party must comply with applicable privacy and data protection requirements relating to information it provides or processes. The client remains responsible for obtaining any required permissions or consents for customer data, mailing lists, advertising audiences, images, or other information supplied to Cyan.
If a project is cancelled after work has started, the client remains responsible for completed work and any committed or non-refundable third-party costs. Deposits and advance payments may be non-refundable where work, resources, production bookings, or supplier commitments have already been made. Cyan may suspend or terminate work in cases of non-payment, unlawful instructions, material breach, or repeated failure to provide required cooperation.
Cyan will perform its services with reasonable professional skill and care. However, Cyan cannot guarantee specific business results or uninterrupted availability of third-party platforms and technologies. To the maximum extent permitted by law, Cyan will not be responsible for indirect or consequential losses, including loss of revenue, profit, business opportunities, or data. Unless otherwise agreed in writing, Cyan’s total liability related to a project will not exceed the fees paid or payable to Cyan for the services directly related to the claim.
These Terms are governed by the laws of the Arab Republic of Egypt, unless another written agreement states otherwise. Any dispute will be handled according to the applicable agreement and Egyptian law. If a signed proposal, contract, or project agreement conflicts with these general Terms, the signed project-specific agreement will take priority.
